Merchant Terms & Conditions

Effective upon registration and onboarding to the BuyBuy platform

1. Overview
These Terms and Conditions govern the participation of any merchant (the "Merchant") on the BuyBuy SARL online marketplace platform. BuyBuy SARL provides digital marketplace services, ecommerce management, payment facilitation, marketing exposure, and operational coordination. By registering and operating on the platform, the Merchant agrees to be fully bound by these Terms.

2. Term
These Terms become effective upon onboarding and remain valid for an initial period of twelve (12) months. They shall automatically renew on a rolling basis unless terminated in writing by either party with thirty (30) days' prior notice, delivered officially by email, through “info@buybuy.com.lb” or “support@buybuy.com.lb” , or in accordance with the conditions set out in Article 8.

3. Fees & Commission Structure

3.1 Monthly Ecommerce Management Fee
The Merchant agrees to pay a monthly Ecommerce Management Fee based on the number of active SKUs listed on the platform. This fee covers the following, where applicable:
Infrastructure: website maintenance, server hosting, and security updates
Management & Support: merchant dashboard access, sales reporting, and account management
Operational Overheads: general administrative costs tied to the Merchant's platform presence
Note: Storage and special logistics are quoted separately on a case-by-case basis.

Fee tiers are as follows:
USD 35/month for up to 15 individual items/SKUs
USD 50/month for up to 30 individual items/SKUs
USD 75/month for up to 55 individual items/SKUs
A one-time USD 3 data entry fee applies per individual item/SKU beyond the first 55
Merchants listing above 100 individual items/SKUs are eligible for a preferential reduced data entry rate, discussed during onboarding

This fee becomes due following a three (3) month grace period from the date of onboarding and is billed monthly in advance. Tiers are automatically upgraded once the applicable threshold is reached. BuyBuy SARL reserves the right to suspend any Merchant account for unpaid fees exceeding 30 days.

3.2 Sales Commission
BuyBuy SARL retains a fifteen percent (15%) commission, effective from the day of the agreement, on every item sold through the platform. Commission is calculated on the final selling price, excluding delivery fees unless otherwise agreed, and is automatically deducted before payout to the Merchant.

3.3 Payment Schedule
Payouts are processed on the 15th of each month, covering all completed and non-refunded transactions from the previous calendar month.

3.4 Right to Amend
BuyBuy SARL reserves the right to revise, update, or amend the fees, commission rates, subscription tiers, and any other commercial terms of this Agreement at any time and at its sole discretion. Continued use of the platform by the Merchant following any such amendment constitutes full acceptance of the revised terms.

4. Advertising, Marketing & Media Rights
BuyBuy SARL holds sole discretion and authority over all platform-related advertising. All advertising is managed through suppliers and agencies of BuyBuy SARL's own choosing.

By operating on the platform, the Merchant grants BuyBuy SARL the right to use product images, logos, and brand materials for promotional purposes throughout the term of these Terms.

All photos, videos, and media produced by BuyBuy SARL in relation to the Merchant's products remain the exclusive property of BuyBuy SARL. The Merchant may access and reshare such media on external platforms only upon receiving prior express written permission from BuyBuy SARL and subject to an agreed additional fee.

5. Obligations of BuyBuy SARL
BuyBuy SARL shall be responsible for:
Logistics & Delivery Coordination: coordinating all product deliveries and returns, unless otherwise specified
Platform Uptime: ensuring the marketplace remains functional and accessible to customers
Payment Gateway Security: providing a secure environment for processing customer transactions
Customer Traffic: utilizing marketing resources to drive potential buyers to the Merchant's listings
Technical Support: assisting the Merchant with technical issues related to the dashboard or product uploads
Transaction Transparency: providing the Merchant with accurate monthly statements reflecting sales and deductions

5.7 Listing Management
BuyBuy SARL reserves the right, at its sole discretion, to remove, replace, or demote any of the Merchant's product listings at any time, including but not limited to reasons related to platform standards, inventory accuracy, customer experience, or strategic considerations. BuyBuy SARL will notify the Merchant of any such action within three (3) business days of its implementation. The exercise of this right does not constitute a breach of these Terms.

6. Merchant Obligations
The Merchant agrees to:
Ensure all merchandise listed as "Available" is physically ready for immediate packing at an agreed location
Ensure product authenticity, integrity, and quality at all times
Comply with all applicable Lebanese commercial regulations

7. Refunds & Returns
BuyBuy SARL reserves the right to issue returns or refunds directly to customers in cases where an inaccurate or defective item is dispatched. The corresponding amount will be deducted from the Merchant's balance.

8. Termination
8.1 Termination by BuyBuy SARL
BuyBuy SARL may terminate these Terms immediately and without notice in cases of fraudulent activity, repeated service level violations, or non-payment of fees exceeding 30 days. Upon termination, all listings will be removed and any outstanding balances settled within 45 days.

8.2 Termination for Cause
Either party may terminate these Terms immediately if the other party:
Is in material breach of any term or condition and fails to remedy such breach within 30 business days of written notice, delivered officially by email, through “info@buybuy.com.lb” or “support@buybuy.com.lb” 
Ceases to carry on business in the normal course
Becomes or is declared bankrupt or insolvent, or is subject to any bankruptcy or insolvency proceedings
Makes an assignment for the benefit of its creditors
Seeks to appoint a receiver, trustee, agent, custodian, or similar official over part or all of its assets
All notices or documents required under these Terms shall be in writing and delivered officially by email to “info@buybuy.com.lb” or “support@buybuy.com.lb” 

8.3 Unauthorized Termination or Fee Withholding
Non-payment of fees or unilateral termination by the Merchant without a valid cause as defined in Article 8.2 is strictly forbidden and constitutes grounds for immediate termination of these Terms, along with all associated rights and platform access. BuyBuy SARL reserves the right to pursue all available legal remedies in such cases.

8.4 Survival
The provisions of Article 8.3 survive the termination of these Terms and remain enforceable regardless of how or when the relationship ends.

8.5 Termination with Notice
Either party may terminate these Terms with 30 days' prior written notice, delivered officially by email, through “info@buybuy.com.lb” or “support@buybuy.com.lb”, BuyBuy SARL shall be compensated for all services rendered up to the date of termination. Both parties are required to fulfill all outstanding obligations and settle any remaining payments upon termination.

9. Confidentiality
Both parties agree to keep the existence and contents of their commercial relationship strictly confidential.
Any breach of confidentiality obligations is strictly forbidden and constitutes grounds for immediate termination of the commercial relationship, without prejudice to any additional legal remedies available to the non-breaching party.

10. Binding Nature & Assignment
These Terms are binding upon and inure to the benefit of both parties and their authorized successors and assigns.

Any assignment of these Terms requires the prior written consent of the non-assigning party, which shall not be unreasonably withheld.

11. Amendments, Waivers & Consents
These Terms may be amended at any time by written agreement signed by authorized representatives of both parties. No amendment, waiver, or consent shall be binding unless made in writing and duly signed. No waiver of any provision shall constitute a waiver of any subsequent breach of that same provision.

12. Force Majeure
Neither party shall be liable for any failure to perform its obligations where such failure results from circumstances beyond that party's reasonable control. In the event of such circumstances, the non-performing party shall exercise commercially reasonable efforts to avoid and remedy the non-performance.

13. Liability Limitation
BuyBuy SARL acts as a marketplace facilitator and assumes no liability for product defects, manufacturing faults, or Merchant negligence.

14. Governing Law & Jurisdiction
These Terms are governed by the laws of the Republic of Lebanon. Any dispute arising in connection with these Terms that cannot be resolved amicably within 30 days shall be referred to the competent Courts of Beirut.
